Terms of Service

These Terms of Service ("Terms") govern your access to and use of Convax's AI voice agent platform and related services (collectively, the "Service"), provided by Convax ("Convax," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

1. Accounts

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly at support@convax.ai if you suspect unauthorized use.

2. Use of the Service

You may use the Service only for lawful business purposes and in accordance with these Terms. You agree not to:

• Use the Service to violate any applicable law or regulation.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
• Use the Service to send unsolicited communications, spam, or content that infringes on the rights of others.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.

3. Customer Data

You retain ownership of the data you submit to the Service, including customer, booking, and order information ("Customer Data"). You grant Convax a license to process Customer Data solely to provide and improve the Service. Our handling of personal data, including data accessed via connected services like Google Calendar, is described in our Privacy Policy.

4. Third-Party Integrations

The Service may allow you to connect third-party accounts and services (for example, Google Calendar, payment processors, or messaging platforms). Your use of those third-party services is governed by their own terms, and Convax is not responsible for the availability, accuracy, or practices of third-party services.

5. Fees and Payment

Paid plans are billed in advance on a recurring basis (monthly or annually) as described at checkout or in your order confirmation. Fees are non-refundable except where required by law or expressly stated otherwise. We may change our fees with advance notice; continued use of the Service after a fee change takes effect constitutes acceptance of the new fees. Failure to pay amounts due may result in suspension or termination of your access to the Service.

6. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, use the Service in a way that creates risk or legal exposure for us, or if required by law. Upon termination, your right to use the Service ends immediately; provisions that by their nature should survive (including Sections 3, 7, and 8) will continue to apply.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS (INCLUDING VOICE AGENT RESPONSES) WILL ALWAYS BE ACCURATE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVAX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. CONVAX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO CONVAX IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last updated" date above and, where appropriate, through direct notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
